Welcome to Vidfly.ai! These Terms of Service ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By accessing or using Vidfly, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

You must be at least 13 years old to use our Services.

  • Users under the age of 13 are not permitted to use the Services.
  • If you are at least 13 but under the age of legal majority in your jurisdiction (typically 18 years old), you represent and warrant that your parent or legal guardian has reviewed and agreed to these Terms and permits you to use the Services. Your guardian is fully responsible for your acts.

By using the Services, you represent and warrant that you meet this eligibility requirement.

3. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.

4. Content Ownership and License

  • Your Ownership: You retain ownership of all prompts and uploaded content you submit to the Services ("Inputs"). Subject to your compliance with these Terms, you own all rights to the videos or other content you generate using the Services ("Outputs").
  • License to Vidfly: In order to operate, develop, improve, and promote our Services, you grant Vidfly a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, distribute, display, and create derivative works from your "Inputs" and "Outputs." This license is solely for the purpose of providing and improving the Services.
  • Use of Public Content: If you choose to make your "Outputs" publicly available (e.g., in a public gallery), you further grant Vidfly the right to use that specific content to market and promote the Services in any media channels.

5. Acceptable Use and Content Policy

You agree not to use the Services for any unlawful purpose or in any way that may damage, disable, or impair the Services. We have a zero-tolerance policy for objectionable content. The following actions and content are strictly prohibited, including but not limited to:

  • Illegal Activities: Generating or distributing any content that violates applicable laws or regulations.
  • Child Sexual Abuse Material (CSAM): Any content depicting or suggesting the sexual exploitation of minors is strictly forbidden. We will report any such content to the relevant authorities.
  • Hate Speech: Content that promotes discrimination, harassment, or violence based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Extreme Violence and Gore: Content that depicts extreme gore, death, self-harm, or disturbing acts of violence.
  • Pornography and Explicit Content: Generating pornographic images, nonconsensual sexual content, or nonconsensual intimate imagery.
  • Harassment and Bullying: Targeting individuals with harassment, threats, or bullying.
  • Intellectual Property Infringement: Using copyrighted materials, trademarks, or other intellectual property without authorization.
  • Privacy Violations: Sharing private information of others ("doxxing") or violating their right to privacy.
  • Misinformation: Creating or spreading deceptive information that could cause public harm.

6. Intellectual Property

All content, features, and functionality on the Services, including but not limited to text, graphics, logos, and software, are the exclusive property of Vidfly or its licensors and are protected by copyright, trademark, and other intellectual property laws.

7. Copyright Infringement (DMCA)

We respect the intellectual property rights of others. If you believe that any content on the Services infringes your copyright, please send us a notice of infringement according to our Digital Millennium Copyright Act (DMCA) policy. The notice must include:

  • The electronic or physical signature of the copyright owner or a person authorized to act on their behalf.
  • A description of the copyrighted work you claim has been infringed.
  • A description of where the material you claim is infringing is located on the Services.
  • Your address, telephone number, and email address.
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.

8. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms, particularly the content policy in Section 5.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. Vidfly makes no representations or warranties of any kind, express or implied, regarding the operation of the Services or the information, content, materials, or products included therein.

10. Limitation of Liability

To the fullest extent permitted by law, Vidfly shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vidfly, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Services.
  • Your violation of any term of these Terms.
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

12. Governing Law

You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

13. Changes to Terms

Vidfly reserves the right to modify these Terms at any time. If we make changes, we will notify you by revising the "Last Updated" date above. Your continued use of the Services after the posting of changes constitutes your acceptance of such changes.
